LANDSCAPING
GENERAL MAINTENANCE AGREEMENT
SR 20 SPUR CITY OF ANACORTES
THIS Agreement is made and entered into between the State of Washington, Department of
Transportation, hereinafter called the "STATE," and the City of Anacortes, a municipal
corporation located at 904 6(11 Street, Anacortes, WA 98221, hereinafter called the"CITY,"
together referred to as"Parties," and individually, the"Party.
WHEREAS, the CITY is planning an intersection improvement entitled, SR 20
Spur/Commercial Roundabout,hereinafter the"PROJECT", and
WHEREAS, the CITY has designed, and will construct and install landscape features,
irrigation systems, electrical connections, and plantings within the roundabout within state-
owned limited access right of way inside the CITY, and
WHEREAS, WSDOT has reviewed and approved the landscape features, irrigation
systems, electrical connections, and plantings within the roundabout and within state-
owned limited access right of way inside the CITY, and
WHEREAS, the CITY has requested specific landscape features, which require support
irrigation systems and electrical connections, that exceed STATE standards, which will
require maintenance beyond normal STATE practices, and
WHEREAS, the CITY agrees that including these specific landscape features, including
support irrigation systems and electricl connections, requires additional maintenance, the
CITY desires to provide a higher level of maintenance than current STATE maintenance
standards, of certain PROJECT landscape features that are located within CITY's corporate
limits,
NOW, THEREFORE, pursuant to RCW 47.28.140 and in consideration of the terms,
conditions, covenants, and performances contained herein, or attached hereto and
incorporated and made a part hereof, IT IS MUTUALLY AGREED AS FOLLOWS:
1. GENERAL
1.1 The CITY and the STATE agree that the RCW 47.24.020(2), Jurisdiction Control,
shall govern all issues of SR 20 Spur ownership, jurisdiction, control, maintenance,
authority and responsibility within the CITY's corporate limits, unless otherwise provided
for in this Agreement.
1.2 The STATE shall retain and exercise full jurisdiction, responsibility, and control to
and over the roadway located within state-owned limited access right of way.
2. CITY MAINTENANCE RESPONSIBILITIES
2.1 The CITY, at the CITY'S sole cost and expense, agrees to maintain, provide all
materials, equipment and labor associated with the maintenance, replacement, repairs,
water fees, power fees and any other incidentals associated„with the irrigation systems,
electrical connections, and landscaping constructed as part of this PROJECT within the
roundabout and adjacent landscaped areas located within SR 20 Spur's limited access right •
of way, and as established in the planting plans as shown in Exhibit A, attached hereto and
by this reference made part of this Agreement. Water and power utility service agreements
shall be the CITY's responsibility and billing shall be it its name.
2.2 The CITY will be responsible for all costs associated with any future landscape
and/or maintenance modifications to the SR 20 Spur's planting areas located on state-
owned limited access right of way. The CITY shall obtain STATE written approval for any
proposed modifications to the roundabout located on state-owned limited access right of
way prior to performing said modifications.
2.3 The CITY shall perform no less than the care specified on the "Level of Care
Matrix," and "Activity Timing Matrix," as shown on Exhibit B, attached hereto and made
part of this Agreement.
2.4 The CITY shall not perform or allow to be performed any work authorized under
this Agreement in such a way as to conflict with, impede or disrupt in any way STATE
highway construction, operation, or maintenance or interfere with or endanger the safety of
the traveling public.
2.5 The CITY shall not damage or allow to be damaged the highway right of way or
state property in any way and agrees to be directly liable to the STATE for all repairs and/or
replacement costs if such damages occur.
2.6 The CITY shall be responsible for the cleanup of any material tracked onto the
limited access highway during maintenance activities and shall comply with the provisions
of RCW 46.61.655, dropping load on public highways.
2.7 The CITY, in addition to the requirements of Exhibits A and B, shall also perform
the following items of work necessary to maintain the landscaping, irrigation systems, and
electrical connections at the sole cost of the CITY:
2.7.1 Vegetation Maintenance
A. Planting bed and landscape maintenance for trees, shrubs, and ground
covers. Activities include, but are not limited to, plant replacement for dead or
dying trees, shrubs, and ground covers, pruning (for safety, sight distance, design
clear zone, or for arboricultural or horticultural health), weed control (manual or
chemical), fertilizing, applying mulch and organic amendments.

Trees shall not be topped, pruned, or trimmed to the detriment of the tree or its
natural form. In all cases, pruning of trees shall be performed in accordance with
current national arboricultural standards, as established by the International Society
of Arboriculture.
B. Within the roundabout and state-owned limited access right of way,
replacement of plants shall follow the PROJECT design plans. Tree locations and
plant species may not be changed without the prior written authorization by the
STATE NW Region Landscape Architect, PO Box 330310 Seattle, WA 98133-
9710.
C. Any hazard or danger tree, identified by either the STATE or the CITY,
located in the roundabout or within state-owned limited access right of way,that
endangers the safety of the traveling public or is a hazard to vehicles or persons
shall be immediately removed. Either Party may, at its own expense, consult an
arborist with respect to the determination of any tree's condition and any dispute
between the Parties concerning the removal of any tree shall be resolved using the
dispute resolution process set forth in Section 10 of this Agreement.
D. All traffic control for any maintenance work within or around the
roundabout within limited access areas shall be in compliance with the Manual on
Uniform Traffic Control Devises (MUTCD) and/or Work Zone Traffic Control
Guidance M54-44. Traffic control plans shall be approved by the STATE prior to
use within state-owned limited access right of way.
2.7.2 Weed Control •
A_ The CITY shall maintain the landscaping in an essentially weed free
condition. This may be achieved by manual removal of weeds and/or through the
chemical control following: Apply pesticides (insecticides, herbicides, fungicides)
in accordance with the label recommendations, and comply with all federal, state
and local laws, rules and orders, now in effect or as amended, including U.S.
Environmental Protection Agency, Washington State Department of Ecology, and
Washington State Department of Agriculture orders and local sensitive area
ordinances. All pesticide applications shall be performed by an applicator licensed
by the State of Washington in the category for the pesticides utilized. The licensed
applicator shall complete and sign a Commercial Pesticide Application Record for
each daily application of pesticides. A copy of the Pesticide Application Record
shall be kept on file at the CITY and shall be subject to the provisions of RCW
17.21.100 which outline "Record keeping by licensees and agricultural users"
requirements for a period of 7 years. These Records shall be made available within
five(5) days upon request by the STATE.
The provisions contained in this section shall survive the termination of this
Agreement.

2.7.3 Irrigation Systems Operation
A. Perform normal and regular operation of the irrigation system, including,but
not limited to, winterization, spring start up, annual backflow testing, programming
of irrigation clocks, flushing and testing the irrigation systems, replacement of
damaged or broken irrigation system components: heads, pipes, wires, and valves as
needed for complete operation.
The CITY agrees that it shall be solely liable for costs and damages associated with
any problems and/or consequences resulting from leaks in the irrigation systems,
including, but not be limited to, icing conditions of the highway that either damage
the highway or forms the basis of personal and/or property damage to the traveling
public, erosion control, contamination of water systems, and backflow testing.
Material, equipment and labor costs for all irrigation operation, replacement, and
repairs and any other incidentals needed shall be at the sole responsibility and cost
of the CITY.
B. The CITY shall notify the water and electrical utilities that the CITY is
responsible for and will pay the cost of all water and electrical service bills
necessary for the operation of the irrigation systems and shall provide the STATE
with copies of the notices.
C. Inspect and test backflow devices (double check valves), prepare test
reports, and obtain annual approval from the serving utility or CITY representative
in accordance with WAC 246-290-490 and other applicable regulations as required
by the Washington State Department Health. WAC 246-290-490 requires test
reports to be performed, completed and recorded by a licensed Backflow Assembly
Device Tester(BADT) or a Certified Water Works Operator with a CCSI or CCS2
Classification. Test reports shall document that each device is in good working
order prior to spring start-up, flushing, and testing of the irrigation systems. Test
results shall be recorded and kept on file with the City of Anacortes. These records
shall be provided to STATE within five (5) days upon request and shall be
maintained for a period of five (5) years in accordance with WAC 246-290-490
Cross-Connection Control. The provisions contained within this section shall
survive the termination of this Agreement.
At such time as the CITY deterimines that the landscaping areas no longer need the
irrigation systems, the CITY shall notify the STATE NW Region Landscape Architect, PO
Box 330310 Seattle, WA 98133-9710 that it intends to terminate operation of the irrigation
systems or a portion thereof. The CITY shall not terminate operation of the irrigation
systems, or a portion thereof, without prior written consent of the STATE. In the event the
CITY terminates operation of the irrigation systems, the CITY shall deenergize the system
by locking out the electrical control panel and water control valves, draining all irrigation
piping, and securing the system to the satisfaction of the STATE.

3. RIGHT OF ENTRY
3.1 The STATE hereby rants to the CITY and its authorized agents, contractors,
subcontractors, and employees, a right of entry upon all land in which the STATE has an
interest, for the purpose of installation and maintenance of the plantings, irrigation systems,
and electrical connections as required by this Agreement.
4. DEFICIENT MAINTENANCE AND OPERATION
4.1 In the event the CITY does not perform operation and maintenance work as
identified in Section 2 and/or any of the referenced RCWs, and WACs. The STATE
reserves the right to perform emergency maintenance, where the CITY has failed to
perform, without prior notice to the CITY for the affected areas of the landscaping,
irrigation systems,and electrical connections, that the STATE deems necessary for the safe
operation and maintenance of the state highway right of way. The CITY agrees to
reimburse the STATE for all actual direct and related indirect costs associated with the
emergency maintenance within thirty (30) days receipt of billing from the STATE in
accordance with Section 4.3.
4.2 Should the CITY fail to perform its operation and/or maintenance responsibilities
which do not directly impact the safe maintenance and operation of the state highway or
endanger the traveling publice, pursuant to this Agreement, the STATE will provide written
notification to the CITY to comply with the requirements of this Agreement within thirty
(30) days upon receipt of said notification.
4.2.1 If the CITY does not correct the noted deficiencies within thirty (30) days
receipt of said notification, the STATE may perform the needed work. All costs
associated with this work by the STATE shall be borne by the CITY in accordance
with section 4.3. If a deficiency cannot with due diligence be cured within a period
of thirty (30) days, the CITY shall make a written request of the STATE for an
extension of time, and the STATE shall respond in writing granting the number of
days extended, if any. The STATE shall not, without good cause, deny such a
request.
4.3 The STATE may correct any deficiency by use of STATE forces or by use of a
contactor, and the STATE shall invoice the CITY for the actual direct and related indirect
costs associated with the work performed. Upon receipt of a detailed, itemized invoice
from the STATE, the CITY agrees to and shall make payment within thirty (30) days;
Provided,however, if the CITY objects to all or any portion of an invoice, it shall notify the
STATE of the same within twenty(20)days from the date of receipt, and shall pay only that
portion of the invoice not in dispute. The STATE and the CITY shall immediately make
every effort to settle the disputed portion, and if necessary utilize the dispute resolution
provided for in Section 10 herein. The CITY agrees that if it does not make payment on
undisputed portions of a(RJH have changed section reference, thanks)n invoice within
ninety (90) days after invoice receipt, the STATE may deduct and expend any monies to
which the CITY is entitled to receive from the Motor Vehicle Fund.

5. TERM OF AGREEMENT
5.1 The terms of this Agreement shall become effective as of the date of execution of
this Agreement and shall continue until such time this Agreement is terminated pursuant to
Section 6.
6. TERMINATION
6.1 This Agreement may be terminated only if mutually agreed to by the STATE and
the CITY. Conditions of termination shall be mutually agreed to in writing and signed by
both the STATE and the CITY.
6.2 If safety or operations of the highway is jeopardized by the CITY during execution
of this Agreement, the STATE may terminate this Agreement with thirty (30) days written
notification to the CITY.
6.3 Any termination of this Agreement shall not prejudice any rights or obligations
accrued to the STATE and/or to the CITY prior to termination.
7. MODIFICATIONS
7.1 This Agreement constitutes the entire agreement between the CITY and the STATE
on the subject matter hereof. There'are no understandings, agreements, or representations,
oral or written, not specified herein regarding this Agreement. No waiver, consent,
modification, or change of terms of this Agreement shall bind either Party unless in writing
and signed by both Parties. Such waiver, consent, modification, or change, if made shall be
effective only in the specific instance and for the specific purpose given. The failure of the
CITY and /or STATE to enforce any provision of this Agreement shall not constitute a
waiver by the CITY and/or the STATE of that or any other provision.
8. ASSIGNMENT
8.1 Neither the STATE nor the CITY shall transfer or assign any right or obligation
under this Agreement without prior written consent of the other Party.
9. SEVERABILITY
9.1 Should any part, term or provision of this Agreement be determined to be invalid,
the remainder of this Agreement shall not be affected, and the same shall continue in full
force and effect.

10. DISPUTES RESOLUTION
10.1 In the event that a dispute arises under this Agreement which can not be resolved
between the Parties, the dispute shall be settled in the following manner: The STATE and
the CITY shall each appoint a member to a dispute board_ These two members shall jointly
appoint a third member to the dispute board who is not affiliated in any manner with the
two Parties to this Agreement. The three member board shall conduct a dispute resolution
hearing that shall be informal and unrecorded. An attempt at such dispute resolution in
compliance with aforesaid process shall be a prerequisite to the filing of any litigation
concerning the dispute. The Parties shall equally share in the cost of the third disputes
board member; however, each Party shall be responsible for its own costs and fees.
11. INDEMNIFICATION,WAIVER,AND VENUE
11,1 The CITY shall protect, defend, indemnify, and hold harmless the STATE, its
officers, officials, employees, and agents, while acting within the scope of their
employment as such, from any and all costs, claims,judgments, and/or awards of damages
(both to persons and/or property), arising out of, or in any way resulting from, the CITY's
design and installation of landscaping, irrigation systems, and electrical connections on
STATE-owned right of way, including the operation and maintenance work to be
performed on the STATE-owned right of way pursuant to the provisions of this Agreement.
The CITY will not be required to indemnify, defend, or save harmless the STATE, its
officers, officials, employees, or agents, if the claim, suit, or action for injuries, death, or
damages (both to persons and/or property) is caused by the sole negligence of the STATE,
its officers, officials, employees, and agents. Where such claims, suits, or actions result
from concurrent negligence of both Parties, or involves those actions covered by RCW
4.24.115, the indemnity provisions provided herein shall be valid and enforceable only to
the extent of each Party's own negligence.
11.1.1 In the event of a claim for which the STATE may seek indemnification, the
STATE shall provide the CITY with prompt written notice of such claim. The CITY
shall be entitled to control the handling of such claim and to defend or settle any such
claim in its own discretion with counsel of its own choosing. The CITY shall be
responsible for anySTATE's costs associated in assisting the CITY, including
attorney's fees; invoicing and payment shall be in accordance with section 4.3.
11.2 The CITY agrees that its obligations under this section extend to any claim, demand,
and/or cause of action brought by, or on behalf of, any of its employees. For this purpose,
the CITY, by mutual negotiation with the STATE, hereby waives with respect to the
STATE only, any immunity that would otherwise be available to it against such claims
under the Industrial Insurance provisions of Title 51, RCW.
11.3 This indemnification and waiver shall survive the termination of this Agreement.
11.4 In the event that either the CITY or the STATE deems it necessary to institute legal
action or proceedings to enforce any right or obligation under this Agreement, the Parties
agree that any such action or proceedings shall be brought in the superior court situated in

Thurston County, Washington. Further, the Parties agree that each will be solely
responsible for payment of their own attorney's fees, witness fees, and costs.

Special Plant Establishment and Maintenance Area Notes:
1. Refer to Plan sheets for locations of sight distance lines.
2. Prune Autumn Brilliance Serviceberry to achieve a tree-like appearance with the
lowest branches beginning 6 ft. from the ground surface(Figure 1)- Do not
remove more than 50%of the branches at any one time. Kelsey Dogwood may
be trimmed to promote bushy growth.
