SECOND STREET, ROOM 202 MOUNT VERNON, WA 98273 DOCUMENT TITLE: MEMORANDUM OF AGREEMENT BETWEEN SKAGIT COUNTY AND CITY OF ANACORTES RE: 911 PUBLIC SERVICE ANSWERING POINT DATE SIGNED: March 2, 1998 GRANTOR: SKAGIT COUNTY GRANTEE: CITY OF ANACORTES COUNTY CONTRACT NO.: 03843 MEMORANDUM OF AGREEMENT This Agreement is a valid, binding contract made and entered into between Skagit County, hereinafter called County, and the City of Anacortes, hereinafter referred to as City. County' s legal address is : Board of Skagit County Commissioners Skagit County Administration Building 700 South Second, Room 202 Mount Vernon, WA 98273 City' s legal address is: Office of the Mayor Anacortes City Hall 6th and 'Q' Avenue Anacortes, WA 98221 WITNESSETH WHEREAS, the County is charged with implementing a County-wide 911 emergency dialing system as approved by the voters of Skagit County, on September 18, 1990 . WHEREAS, an integral part of the 911 emergency dialing system is the designation and establishment of Public Service Answering Points, where 911 calls are initially answered and routed. WHEREAS, the City has an established Public Service Answering Point and an established call routing procedure that can be adopted to a County-wide 911 emergency dialing system. WHEREAS, the City represents it is fully qualified to complete the Scope of Services herein below described. NOW, THEREFORE, in consideration of the mutual benefits to be derived from this Agreement, the County and City agree as follows : Memorandum of Agreement Skagit County and City of Anacortes 911 Services " , Page 2 1. Scope of Services The City agrees to be the Public Service Answering Point for all 911 emergency calls from the folowing telephone prefixes: 293 , 299, and any prefixes established in the future within Skagit County on Fidalgo Island. In addition, the City will be the backup Public Service Answering Point for the 416, 424, 428, 336, 445, 724, 757, 755, 422, 466, 855, 826, 853 and 873 prefixes, if called upon to do so in times of emergency. The City will be responsible for answering and forwarding all 911 emergency calls to the proper dispatching entity for emergency response. The City will also receive and forward emergency calls received by virtue of being a designated Public Service Answering Point. This may include cellular or mobile telephone calls, calls transferred from agencies outside the County, and calls reaching the Public Service Answering Point via 7 digit telephone numbers. In carrying out the Call Receiving and Call Forwarding functions, the City will follow documented policies and procedures as they currently exist within the City' s Communication Center or as subsequently modified. City will assure their Communications personnel have the necessary equipment and reference materials to ascertain the appropriate responding jurisdiction and forward 911 calls to the proper dispatch agency. 2 . Personnel Staffing and Training The City shall have at least two Telecommunications personnel on duty at all times . The City shall require Telecommunications personnel to complete a City approved training course in call receiving, call forwarding, jurisdictional establishment, and emergency telecommunications equipment operation. Ongoing Public Service Answering Point Administration The City and County agree Public Service Answering Point Administration will be managed as established in the separately enacted Interlocal Cooperative Agreement for County-wide 911 Emergency Dialing. All requests for modification of present procedures or complaints about City performance under the terms of this agreement must be submitted to both the City and the Emergency Communications Committee as established in the Interlocal Cooperative Agreement. The City will respond in writing to the request or complaint within 10 days of receipt of the written instrument. A copy of the City' s response will be provided to the Emergency Communications Committee. Subsequent action, if necessary, will be as established in the separately enacted Interlocal Cooperative Agreement. 4 . Hold Harmless Agreement The City agrees to hold the County harmless from and defend the County from all claims against the County, its officers, agents and employees for damages or injuries to persons or property that may be sustained by anyone on account of the performance by the City or its agents or employees of duties assigned to the City by this agreement and after reasonable notice thereof defend and pay the expenses of defending any suit which may be commenced against the County by any third party alleging injury by reason of such performance and will pay any judgment which may be obtained against the County in such suit. 5 . Personal Performance The City and County intend that an independent City-County relationship shall be created by this agreement. The County is interested solely in the results to be achieved, and the implementation of services will lie in the discretion of the City. In performance of the services herein contemplated, the City shall be deemed an independent contractor with authority to control and direct the performance of the details of the work. Page 4 completed herein shall meet the approval of the County and shall be subject to the County' s general rights of inspection or review to secure the satisfactory completion thereof as otherwise provided for in this agreement. 6 . Records and Reports The County may require such reports and records as it deems necessary for the execution of this agreement. The reports may include financial, statistical, and operational information. 7 . Compensation The County agrees to compensate the City for one Telecommunication employee. Costs to be paid by the County are monthly salary and personnel benefits of one employee as documented by the City. Compensation will be based upon actual salary and benefit costs of the employee as documented by the City. 8. Agreement Term The term of this agreement shall be from January 1, 1998, on a month by month basis until December 31, 1998 . The agreement shall terminate on the day which operations begin in the consolidated E-911 center and the service is no longer needed in the Anacortes center. Any time in the partial month will be prorated based on the number of days that the service was provided by the City. 9 . Amendments This agreement may be amended upon the mutual written agreement of both parties .
