AND
RADIO EQUIPMENT AGREEMENT
This agreement is entered into this day of 2009 between Skagit County Fire
Protection District No 11, Skagit County Fire Protection District No 13, Skagit County Fire
Protection District No 17, hereafter referred to as the "Districts," and the City of Anacortes, a
municipal corporation of the State of Washington, hereafter referred to as the "City."
RECITALS
WHEREAS, this agreement is entered into under the authority of RCW 52.12.031(3); and
WHEREAS, each of the parties owns, operates, and maintains equipment for the
suppression of fires and for the supplying of emergency medical services. Each of the parties
also retains fire-fighting personnel who are trained to provide various levels of emergency
medical services. These resources require and utilize the primary dispatching services of Skagit
County Emergency Communications, through a multi-agency countywide interlocal agreement.
Occasionally, the primary dispatch system can fail requiring an alternative method of notifying
emergency responders; and
WHEREAS, this agreement is intended to establish a secondary paging system for the
notification of emergency responders on Fidalgo and Guemes Islands during the instances the
primary dispatch system fails; and
WHEREAS, the City will be responsible for the purchase, operation, maintenance,
invoicing and receipt of funds to provide for the proper functioning of the secondary backup
system. The Districts will be responsible to participate financially and with personnel to
operate the backup dispatching system to the extent this agreement describes;
NOW THEREFORE THE PARTIES AGREE AS FOLLOWS:
AGREEMENT
PURCHASING EQUIPMENT: The City will purchase and pay all necessary equipment and
initial installation of phone lines described by in Appendix A. The costs will be divided evenly
between all parties. The Districts will pay their proportional share to the City upon receipt of an
invoice from the City.
REOCCURRING CHARGES: The City will pay the monthly phone service charges for the
radio connections, and invoice the Districts their proportional share on a monthly basis. If there
are regular or occasional equipment repairs and maintenance needed, then the City is authorized
by this agreement to seek those repairs and maintenance, and invoice the Districts their
proportional share. Provided, however, non-emergency repairs or maintenance in excess of
$500.00 shall require prior written consent of the parties before the charges are incurred. If,
within thirty days of notice of such a proposed non-emergency repair or maintenance a party has
not disapproved in writing, the party shall be deemed to have consented.
EMERGENCY STAFFING: In the event that the primary dispatch system fails, the City
agrees to, as soon as practical, initially staff the dispatch console and notify the parties of any
calls for service. The Districts agree to send staff or volunteers to the dispatch console as soon
as practical, and provide relief personnel to dispatch all parties.
LIABILITY: Each party agrees to assume responsibility for all liabilities that occur or arise in
any way out of the performance of this agreement by its personnel and to save and hold the other
parties, their employees, personnel, and officials, harmless from all costs, expenses, losses and
damages, including cost of defense, incurred as a result of any acts or omissions of the parties'
personnel relating to the performance of this agreement. This provision shall survive withdrawal
by a party and termination of this agreement.
NON-EXCLUSIVE AGREEMENT: The parties to this agreement shall not be precluded from
entering into similar agreements with other special service Districts, or municipal corporations.
PROPERTY OWNERSHIP: All property acquired pursuant to this agreement shall, during the
term of the Agreement, be owned and insured by the City. In the event of the termination of this
agreement, the property acquired pursuant to this agreement shall be disposed of and any
proceeds there from distributed in such manner as may be agreed upon between the parties in
good standing at the time the Agreement is terminated.
BENEFITS: This agreement is entered into for the benefit of the parties to this agreement
only and shall confer no benefits, direct or implied, on any third persons.
MODIFICATION/TERMINATION:
1 Modification: This agreement may only be modified by agreement of all
parties hereto, executed in the same manner as this agreement.
2 Withdrawal: Any party may terminate its participation in this agreement,
provided that all the other parties are provided a written notice at least ninety
(90) days prior to the effective date of withdrawal. A withdrawing party shall
remain liable for all costs, charges and staffing requirements incurred or
required prior to the withdrawal effective date. A withdrawing party shall
forfeit all interest in any equipment or supplies purchased pursuant to this
Agreement.
3. Termination: This Agreement shall terminate at such time as three of the four
parties withdraw from the Agreement.

LEGAL PROVISIONS: Venue for any action based on or related to this agreement is
exclusively Skagit County Superior Court. The prevailing party in any such suit (including
appeal) shall receive its costs, including reasonable attorney fees incurred. This agreement shall
be deemed effective when executed by all parties in counterparts.
