Below are the following comments and or recommendations. It is understood that this memo of requirements is general in nature and may require additional improvements based on a submitted site plan for a building permit application. See attached 20-scale vicinity map of existing city facilities and proposed design based on the Anacortes Municipal Code and the Engineering Development Standards. There is a reference to a required site clean-up (2008) due to a gas station previously occupying the site (50's and 60's). There is no evidence that the work was ever completed and a final report being submitted to the City of Anacortes Planning Department. It is requested that this information be provided to show the work was complete. Catch Basin #3898 in the Public Alley Way can be accessed for conveying water from the site to the Public Storm Facility. • Based on the proposal, there will be no additional storm requirements for quantity or quality. Traffic: • Pedestrian facilities are required. ■ Frontage of 21st Street, connecting were feasible to the east and west. The proposal will not be able to obtain the 50-foot minimum length from the point of tangency to the driveway. The measured approximate length is 39.5-feet. Located 6-feet from the back of curb. This property is located in an area with a dedicated 80-foot Right-of-Way. No Right-of- Way will need to be dedicated as part of this proposal. • Per the Anacortes Municipal Code, Chapter 16.32, Commercial Access requires a 40-foot wide road that incorporates two driving lanes, curb and gutter with parking on both sides of the street. Harju and Mary E. Harju, both as husband and wife and as Co-Trustees of"The Andy and Mary Harju Family Trust" dated September 14, 2007, Paul J. Erskine and Jean L. Erskine, husband and wife, (collectively hereafter the "Owners"), Select Styling, LLC ("Select Styling"), and Chevron U.S.A. Inc. ("Chevron"). WHEREAS, the Owners are the owners of certain real property located at 2101 Commercial Avenue, Anacortes, Washington, 98221 (the "Property") more specifically described as follows: West 1/2 of Lot 8 and all of Lots 9 and 10, Block 3, "STEWART'S FIRST ADDITION TO THE CITY OF ANACORTES, WASH.", as per plat recorded in Volume 2 of Plats, page 14, records of Skagit County, Washington. WHEREAS, Select Styling is the current tenant at the Property. WHEREAS, during the 1950's and 1960's Chevron and Chevron's predecessor in interest Standard Oil Company of California allegedly operated the Property as a gasoline service station which included the storage of petroleum products in underground storage tanks on the Property. WHEREAS, in the Spring and Summer of 2008, the Owners undertook an environmental investigation and remedial action at the Property to address contamination of soil at the Property by petroleum related constituents allegedly arising from Chevron's historic operations at the Property for which the Owners received a No Further Action Letter from the Washington Department of Ecology, a copy of which is attached hereto as Exhibit"A", (the "Remedial Action"). WHEREAS, the parties desire to settle various claims related to the Remedial Action on the terms and conditions described below. NOW, THEREFORE, the Parties hereby agree as follows: 1. Payment. In consideration of and subject to the terms, provisions and conditions contained in this Agreement, within thirty (30) days of the Effective Date of this Agreement, Chevron shall pay to the Owners the amount of One Hundred Forty-One Thousand One Hundred Sixty-Six Dollars and Eighty-Six Cents ($141,166.86). 1.1 The payments herein shall bear simple interest at the rate of twelve percent (12%) per annum from the thirty-first (31st) day after the Effective Date until paid in full. 1.2 Payment shall be made by check payable to "Mary Harju and Jean L. Erskine." 2. Owners' and Select Stvlino's Release of Chevron. The Owners and Select Styling hereby release and discharge Chevron, including its past, present and future parent SETTLEMENT AND RELEASE AGREEMENT- 1 entities, subsidiaries, divisions, affiliated entities, predecessors, representatives, principals, agents, officers, directors, employees, successors, and assigns, from any and all past, present or future claims, demands, causes of action, rights, liabilities, contract obligations, torts, damages, attorneys'fees and costs arising from the Remedial Action including, but not limited to, any right of contribution to recover costs related to the Remedial Action contained in the Washington Model Toxic Control Act (as amended, RCW 70.105D et seq.), the Comprehensive Environmental Response, Compensation and Liability Act (as amended, 42 U.S.C. § 9601 et seq.), or any other past, present, or future Federal, state, or local law or regulation. 3. Chevron's Release of Owners and Select Styling. Chevron hereby releases and discharges the Owners and Select Styling, including their respective representatives, principals, agents, directors, employees, contractors, consultants, predecessors, successors, and assigns, from any past, present or future claims, demands, causes of action, rights, liabilities, contract obligations, torts, damages, attorneys' fees, costs arising from the Remedial Action including, but not limited to, any right of contribution to recover costs related to the Remedial Action contained in the Washington Model Toxic Control Act (as amended, RCW 70.105D et seq.), the Comprehensive Environmental Response, Compensation and Liability Act (as amended, 42 U.S.C. § 9601 et seq.), or any other past, present, or future Federal, state, or local law or regulation. 4. Representations. Each party represents and warrants to each other party that as of the execution date of this Agreement: (i) The respective person(s)executing this Agreement are duly authorized to do so; (ii) This Agreement constitutes a valid and binding obligation; (iii) There are no pending agreements, transactions or negotiations to which it is a party that would render this Agreement or any part hereof void, voidable, or unenforceable; (iv) Each party has not assigned or transferred to any person any claim or other matter purported to be released herein; and (v) In signing this Agreement each party is not relying on anything any other party has said that is not set forth in this Agreement. 5. Assignment. Each of the terms of this Agreement is binding upon and for the benefit of each of the parties hereto, and their respective heirs, predecessors, successors, transferees, assignees, representatives, principals, agents, officers, directors, and employees. Any assignment of this Agreement by any party without the written permission of the other parties, except by operation of law, shall be void and of no effect. 6. No Precedential Value. This Agreement is the result of a compromise and accord and shall not be considered an admission of liability or responsibility. This Agreement is without prejudice or value as precedent and, except for any proceeding or hearing brought to enforce the provisions hereof, shall not be used in any proceeding or hearing to create, prove, or interpret the obligations, or terms and conditions, of any other agreement to which any of the parties hereto may be a party. No failure by any of the foregoing parties to insist upon the strict performance of any covenant, duty, agreement, or condition of this Agreement or to exercise any right or remedy consequent upon a breach thereof shall constitute a waiver of any such breach or any other covenant, agreement, term or condition. Any party hereto, by notice, and only by notice as provided herein may, but shall be under no obligation to, waive any of its rights or any conditions to its obligations hereunder, or any duty, obligation or covenant of any other party hereto. No waiver shall affect or alter this Agreement, and each and every covenant, agreement, term and condition of this Agreement shall continue in full force and effect with respect to any other then existing or subsequent breach thereof. 12. Captions. The captions of this Agreement are for convenience and reference only and in no way define, limit, or describe the scope or intent of this Agreement. 13. Severability. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any SETTLEMENT AND RELEASE AGREEMENT-3 respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 14. Counterparts. This Agreement may be executed in any number of counterparts, and each such counterpart hereof shall be deemed to be an original instrument, but all such counterparts together shall constitute but one agreement. 15. Litigation. In the event any party herein finds it necessary to bring an action against any other party to enforce any of the terms, covenants or conditions hereof or any instrument executed pursuant to this Agreement by reason of any breach or default hereunder or thereunder, the party prevailing in any such action or proceeding shall be paid all costs and attorneys' fees incurred by the other party, and in the event any judgment is secured by such prevailing party all such costs and attorneys' fees of collection shall be included in any such judgment. 17. Governing Law. This Agreement and the right of the parties hereto shall be governed by and construed in accordance with the laws of the State of Washington and the parties agree that in any such action venue shall lie exclusively in Skagit County, Washington. 18. Time of Performance. Time is specifically declared to be of the essence of this Agreement and of all acts required to be done and performed by the parties hereto. 19. Entire Agreement. Ecology has determined that no further remedial action is necessary to clean up contamination at the Site. This opinion is based on an analysis of whether the remedial action meets the substantive require- ments of MTCA, Chapter 70.105D RCW, and its implementing regulations, Chapter 173-340 WAC (collectively "substantive requirements of MTCA"). The analysis is provided below. Description of the Site This opinion applies only to the Site described below. Independent Remedial Action Report: Select Styling, dated May 29th 2008, prepared by Whatcom Environmental Services. Those documents are kept in the Central Files of the Northwest Regional Office of Ecology (NWRO) for review by appointment only. Ecology has determined the cleanup action you selected for the Site meets the substantive requirements of MTCA. The cleanup selected for the site was mass excavation to the limits of the tph-g which exceed MTCA Method A, then utilize MTCATPH worksheet (Method B) for one sample which was in close proximity to the property structure foundation. 4. Cleanup. Ecology has determined the cleanup you performed meets the cleanup standards estab- lished for the Site. Listing of the Site Based on this opinion, Ecology will remove the Site from our Confirmed and Suspected Contaminated Sites List. Limitations of the Opinion 1. Opinion does not settle liability with the state. Liable persons are strictly liable,jointly and severally, for all remedial action costs and for all natural resource damages resulting from the release or releases of hazardous substances at the Site. This opinion does'not: • Resolve or alter a person's liability to the state. o Protect liable persons from contribution claims by third parties.
