tT� 0 <br /> CONTRACT 12-053-TRN-001 <br /> Between <br /> THE CITY OF ANACORTES <br /> AND <br /> WIDENER & ASSOCIATES <br /> Project Documentation for Guemes Trail Extension <br /> This Agreement, hereinafter referred to as "Agreement", made and entered into between the City <br /> of Anacortes, hereinafter referred to as the"City", and Widener&Associates, hereinafter <br /> referred to as the"Contractor"; <br /> WHEREAS, the City requires professional services of the Contractor; <br /> NOW,THEREFORE, in consideration of mutual benefits accruing, it is agreed by and between <br /> the parties hereto as follows: <br /> Scope of Work. Under this Agreement, the Contractor shall provide the City professional <br /> services in accordance with the attached Exhibit A entitled "Rails to Trails. <br /> The work under this Contract will be directed by the Assistant City Engineer, Eric Shjarback who <br /> may be reached at (360)299-1980 or erics@cityofanacortes.org. <br /> 2. Price. The work performed under this Agreement shall be performed on a time-and-materials <br /> (T&M) basis for a not-to-exceed price of Sixty-Seven Thousand One Hundred Sixty Dollars <br /> and Eighty Cents ($67,160.80). Payment terms are set forth in Clause 4 Payment Terms. <br /> 3. Period of Performance. The period of performance is from inception through ❑ecember 31, <br /> 2013. <br /> 4. Payment Terms. <br /> Progress payments shall be made according to the following labor rates: <br /> Labor Category Billing Rate <br /> Project Manager $140.00 <br /> Project Biologist $ 86.80 <br /> Other direct costs and subcontractor costs shall be invoiced at actual costs. The Contractor shall <br /> submit invoices for payment no more frequently than monthly and allow 30 calendar days from <br /> receipt of the invoice for payment. <br /> Progress payments shall be made according to the attached Exhibit A entitled Schedule of <br /> Charges which is hereby incorporated by reference. <br /> 5. Subcontracts. The Contractor shall give notice reasonably in advance of placing any <br /> subcontract; preferably the Contractor shall identify subcontracts before subcontracted work <br /> begins. "Subcontract" means any contract entered into by a subcontractor to furnish supplies or <br /> services for performance of the prime Contractor or a subcontractor. It includes, but is not limited <br /> to, purchase orders, and changes and modifications to purchase orders. <br /> The following information shall be included (i) a description of the supplies or services to be <br /> subcontracted, (ii) identification of the type of subcontract to be used (iii) identification of the <br /> proposed subcontractor, (iv) proposed subcontract price. <br />
